Welcome to CodingwithRK ("we," "us," or "our"). By accessing our website at codingwithrk.com or engaging our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully before proceeding.
If you do not agree with any part of these Terms, you must not use our website or engage our services.
1 Definitions
- "Client" refers to any individual or business entity that engages CodingwithRK for services.
- "Services" refers to web development, mobile app development, server & infrastructure, UI/UX design, and related consulting services offered by CodingwithRK.
- "Project" refers to the agreed scope of work defined in a proposal, contract, or statement of work.
- "Deliverables" refers to any work product produced by us for the Client under a Project.
2 Services
CodingwithRK provides custom software development and related digital services. The specific scope, timeline, and cost of each project are defined in a separate written agreement, proposal, or invoice agreed upon by both parties.
We reserve the right to decline any project or engagement at our discretion, without obligation to provide a reason.
3 Client Obligations
By engaging our services, you agree to:
- Provide accurate, complete, and timely information, content, and feedback required for project delivery.
- Ensure you have the legal right to use any materials, logos, images, or content provided to us.
- Not use our services for any unlawful, fraudulent, or harmful purpose.
- Make payments as agreed in the proposal or invoice within the stipulated timeline.
- Assign a point of contact with authority to approve deliverables and decisions.
4 Payment Terms
All payments are processed securely through our authorised payment partners — Razorpay and ZOHO Payments — both compliant with RBI guidelines for payment aggregators in India.
- All prices are quoted in Indian Rupees (INR) unless otherwise specified.
- A minimum advance payment (typically 50% of the total project value) is required before work commences. The exact percentage is defined in the project proposal.
- Milestone-based payments apply for larger projects, as defined in the project agreement.
- Invoices are due within 7 calendar days of issuance unless otherwise agreed in writing.
- Delayed payments beyond the due date may result in work being paused until outstanding dues are cleared.
- All applicable taxes (including GST) are the Client's responsibility and will be reflected in invoices.
5 Intellectual Property
Upon receipt of full and final payment, ownership of the custom Deliverables created exclusively for the Client transfers to the Client.
CodingwithRK retains ownership of:
- All pre-existing frameworks, libraries, tools, and reusable components developed by us.
- Any open-source software used within the project (governed by their respective licenses).
- Our internal methodologies and processes.
We reserve the right to include completed projects in our portfolio and case studies unless the Client requests confidentiality in writing.
6 Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. We will not disclose your proprietary business information to third parties without your written consent, except where required by law.
7 Warranties & Limitation of Liability
We warrant that our services will be performed with reasonable skill and care. However:
- Our total liability to you shall not exceed the total amount paid by you for the specific project giving rise to the claim.
- We are not liable for indirect, consequential, or incidental damages, including loss of profit or business interruption.
- We are not responsible for delays or failures caused by circumstances beyond our reasonable control (force majeure).
8 Termination
Either party may terminate the engagement by providing written notice. In the event of termination:
- The Client is liable to pay for all work completed up to the date of termination.
- Advance payments for undelivered milestones are subject to our Refund & Cancellation Policy.
- We reserve the right to immediately terminate services in the event of non-payment or breach of these Terms.
9 Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
10 Changes to These Terms
We reserve the right to update these Terms at any time. The revised version will be posted on this page with an updated date. Continued use of our services after changes constitutes your acceptance of the updated Terms.
